Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you and SVDH LLC, a company developed by SVDH, with its principal place of business located at 211 S 600 W, Provo, UT 84601-4235, United States. By accessing our website at svdh.hair, engaging our computer systems design and related services, or otherwise interacting with SVDH LLC, you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any part of these terms, you are prohibited from using or accessing our services. Your continued use of our services following any modifications to these terms constitutes your acceptance of such changes.

Services Description

SVDH LLC provides computer systems design and related services, including but not limited to computer integrated systems design, database architecture and management, cloud infrastructure solutions, cybersecurity services, systems integration and optimization, and technical consulting. Specific service offerings, deliverables, timelines, and fees will be outlined in separate service agreements or statements of work between SVDH LLC and the client.

Eligibility and Account Responsibilities

You represent and warrant that you are at least 16 years of age and have the legal authority to enter into this agreement. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

You are responsible for maintaining the confidentiality of any account credentials used to access our services and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms of Service. You agree not to:

• Use our services in any way that violates any applicable federal, state, local, or international law or regulation
• Transmit any material that is defamatory, obscene, threatening, abusive, or otherwise unlawful or objectionable
• Attempt to gain unauthorized access to any portion of our services, other accounts, computer systems, or networks connected to our services
• Interfere with or disrupt the integrity or performance of our services or the data contained therein
• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material
• Engage in any activity that could damage, disable, overburden, or impair our network or systems
• Use our services to infringe upon or violate the intellectual property rights of any third party
• Resell, sublicense, or commercially exploit our services without prior written authorization from SVDH LLC

Intellectual Property

All content, features, functionality, and design of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilation, and software, is the exclusive property of SVDH LLC or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Any deliverables, works, or outputs created specifically for you under a separate service agreement will have their ownership and usage rights defined in that agreement. Unless otherwise specified in writing, SVDH LLC retains all rights to pre-existing materials, methodologies, tools, frameworks, and general know-how developed by us independently of any specific client engagement.

Confidentiality

Both parties acknowledge that in the course of providing or receiving services, each party may have access to confidential information of the other party. Each party agrees to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law or in connection with the performance of obligations under these terms.

Obligations of confidentiality shall survive the termination of any service agreement for a period of three years, or for such longer period as may be specified in a separate non-disclosure or service agreement.

Payment Terms

Fees for services rendered shall be as specified in the applicable service agreement or statement of work. Unless otherwise stated:

• All fees are quoted in United States dollars
• Payment is due within thirty days of invoice date
• Late payments may be subject to interest charges at the rate of one and one-half percent per month or the maximum rate permitted by law, whichever is less
• You are responsible for all applicable taxes, duties, and levies associated with the services, excluding taxes based on SVDH LLC net income
• Any work stoppage or cancellation initiated by you may be subject to termination fees as specified in the applicable service agreement

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SVDH LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF SVDH LLC FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO SVDH LLC FOR SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Disclaimer of Warranties

Our services are provided on an AS IS and AS AVAILABLE basis without any warranties of any kind, either express or implied. SVDH LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that defects will be corrected. Any material downloaded from or otherwise obtained through the use of our services is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download of any such material.

Indemnification

You agree to indemnify, defend, and hold harmless SVDH LLC, its directors, officers, employees, agents, partners, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees arising from or related to your use of our services, your violation of these Terms of Service, or your violation of any rights of a third party.

Termination

Either party may terminate these Terms of Service at any time by providing written notice to the other party. Upon termination:

• Your right to use our services will immediately cease
• You must pay all outstanding fees and charges incurred prior to termination
• Any provisions of these terms that by their nature should survive termination shall survive, including warranty disclaimers, limitations of liability, and indemnification obligations
• Each party will return or destroy all confidential information of the other party in its possession

SVDH LLC reserves the right to suspend or terminate your access to our services at any time, without prior notice or liability, for any reason, including breach of these Terms of Service.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Utah County, Utah.

Before initiating any formal legal proceedings, the parties agree to first attempt to resolve any dispute through good faith negotiation. If the dispute cannot be resolved through negotiation within thirty days, either party may pursue resolution through binding arbitration or litigation as specified herein.

Force Majeure

SVDH LLC shall not be liable for any failure or delay in performing its obligations under these Terms of Service where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms of Service is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any service agreements or statements of work entered into between you and SVDH LLC, constitute the entire agreement between you and SVDH LLC regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

Changes to These Terms

SVDH LLC reserves the right to modify these Terms of Service at any time. When we make changes, we will update the Last Updated date at the top of this page. Material changes will be communicated through our website or by direct notification. Your continued use of our services after the effective date of any modifications constitutes your acceptance of the updated terms.
